XM Launches Notes Offering

XM Satellite Radio on Monday launched an offering of $400 million aggregate principal amount of new senior notes.

The company said the offering is part of a series of transactions to refinance certain debt in connection with its pending merger with Sirius. XM said the offering will be structured in a manner that will permit it to be unwound if the merger is not consummated.

Closing of the pending merger remains subject to approval from the Federal Communications Commission and satisfaction of other applicable conditions.



322K New Net Subs for XM in 2Q

On Monday, XM Satellite Radio reported that it added 322,000 new net subscribers in the second quarter, for a total of 9.653 million subscribers, a 17 percent increase in customers since the end of second quarter 2007.

XM said total gross additions for the quarter were 1.081 million, including 857,000 OEM (original equipment manufacturer - or carmaker) gross additions. Retail gross additions amounted to 224,000, the company said.

XM said second quarter churn improved to 1.67 percent, compared to both second quarter 2007 churn of 1.84 percent and to first quarter 2008 churn of 1.77 percent. Subscription revenue for the second quarter is expected to be in the range of $283 million to $288 million, and an adjusted operating loss for the three-month period is expected to be in the range of $32 million to $38 million, the company said.



More Pushes from Broadcasters on Merger

Broadcasters continued to push for strict conditions on the pending merger between XM and Sirius, a deal still waiting for regulatory approval at the Federal Communications Commission.

For starters, groups representing public broadcasters asked the FCC to require any merged satellite radio entity to devote 25 percent of satellite radio capacity to non-commercial public service channels, minority broadcasters and emergency services. Also, the groups said the public interest programming set-aside should be "open access," or free to the public and content producers.

The groups pressing for the conditions were American Public Media, Public Radio International and National Public Radio.

Also, Clear Channel Communications wrote the FCC on the XM/Sirius merger, suggesting conditions for a combined satellite radio entity such as terrestrial HD radio reception capability in all satellite receivers and leasing spectrum capacity to third parties.

Clear Channel took the push one step further, saying that the FCC should create a mechanism to allow for the merger only when there is fulfillment of any conditions. The proposed mechanism, referred to as "fix-it first," could be "essentially self-executing and do not require a regulatory apparatus for enforcement," the company said in its letter on the merger.

Sonicview 360 Elite PVR

Just got this Sonicview 360 Elite to test. Its Awesome!!!!! Easy to setup and Fast channel scans. With its dual tuner you can record one show while watching any other channel at the same time. Not just the channels on the same transponder.

From the time I took it out of the box it took approx. 20 min to completely setup including adding a USB hard drive to it to use for recording. You can update the flash via USB (has 3 USB connections- 2 on the back and 1 on the front) or with a null modem cable.

The only issue I found is that during playback of a recorded show the display showing the time left, etc. is always showing on the bottom of the screen. I am sure they will address this in a future software update. All my other PVR units cost a lot more than this unit, so if your looking for a PVR and are strapped for cash I would strongly recommend this unit. The unit also has a great Picture in Picture function which allows you to watch 2 shows at the same time. Great for sports or porn, or watch both at once!

The Sonicview Elite and Premier 360 receivers differ only that the Elite is dual tuner and the Premier is single tuner, both are PVR's when combined with an external USB hard drive.
